AEIOU TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you and AEIOU LLC, a Wyoming limited liability company ("AEIOU," "we," "us," or "our"). These Terms govern your access to and use of AEIOU's websites, mobile applications, memberships, online programs, courses, coaching sessions, communities, credentials, institutional accreditation and recognition services, content, and related services (collectively, the "Service").

By accessing or using the Service in any manner—including by creating an account, submitting an application, enrolling in a program, purchasing access, downloading or using a mobile application, or clicking "I Agree"—you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Terms of Purchase (where applicable), and any applicable addenda, including the Accreditation Addendum (collectively, the "Agreement"). If you do not agree, do not access or use the Service.

IMPORTANT NOTICE: THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION AGREEMENT AND A CLASS ACTION AND JURY TRIAL WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTION 27 CAREFULLY.

1. Definitions

"Content" means all materials made available through the Service, including text, video, audio, graphics, templates, frameworks, methodologies, course materials, software, documentation, and instructional resources.

"Credential" means any AEIOU-issued designation, certificate, badge, seal, or mark, including Certified Professional Entrepreneur™.

"Institution" means any government entity, public or private organization, university, school, department, program, enterprise, or other organization that applies for, purchases, uses, or is granted accreditation, recognition, or institutional services.

"User Content" means content you submit, upload, post, transmit, or otherwise make available through the Service.

2. Eligibility

You must be at least eighteen (18) years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that your use complies with all applicable laws and regulations.

The Service is not available to any person previously suspended or removed by AEIOU.

3. Accounts and Security

Certain features require an account. You agree to provide accurate, complete, and current information and to maintain the confidentiality of your login credentials. You are solely responsible for all activity occurring under your account.

Accounts are personal and non-transferable. You may not share, resell, sublicense, or allow unauthorized access to your account.

If you access or use the Service on behalf of an Institution, you represent and warrant that you have full authority to bind that Institution, and "you" includes both you and the Institution.

4. License Grant; Access Period; Life of Course During Access

Subject to your compliance with this Agreement and full payment of applicable fees, AEIOU grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal educational purposes during the applicable access period.

Unless otherwise expressly stated at checkout or in a separate written agreement, access to programs, courses, and related materials is granted for twelve (12) months from the date access is first provided (the "Access Period").

Access is granted for the life of the course as offered during the Access Period only, meaning AEIOU may update, modify, replace, restrict, or discontinue any course, feature, or Content at any time and has no obligation to maintain or support any specific version beyond the Access Period.

Upon expiration of the Access Period, your license automatically terminates and access may be revoked without notice. Continued access requires renewal, repurchase, or a separate written agreement.

5. Acceptable Use; Service Rules; Scraping and Robots

You agree not to, and not to attempt to:

(a) copy, reproduce, distribute, sell, resell, rent, lease, sublicense, or otherwise exploit any part of the Service or Content except as expressly permitted;
(b) access the Service using automated means (including bots, scrapers, spiders, crawlers, or offline readers) to extract Content or data;
(c) bypass, disable, or circumvent access controls, paywalls, or security features;
(d) reverse engineer, decompile, or disassemble the Service except to the extent prohibited by law;
(e) interfere with the Service or servers;
(f) upload malicious code;
(g) collect or harvest personal information;
(h) impersonate another person or misrepresent affiliation; or
(i) use the Service for unlawful, deceptive, abusive, or fraudulent purposes.

Search Engine Carveout: AEIOU grants operators of public search engines revocable permission to use spiders to index publicly available pages solely for the purpose of creating searchable indices, and solely to the extent necessary. This permission does not permit caching, archiving, or indexing of gated or paid content.

6. Community Rules

Participation in any community is a privilege. You may not post promotional content, claim to speak for AEIOU, provide regulated professional advice, harass others, or share confidential information.

AEIOU may remove content or restrict access at its sole discretion.

7. Changes to the Service; Absolute Discretion

AEIOU reserves the right, at any time and in its sole and absolute discretion, to modify, suspend, restrict, replace, reprice, or discontinue any aspect of the Service, including but not limited to Content, programs, courses, credentials, accreditation frameworks, continuing education requirements, membership structures, delivery formats, instructors, communities, features, access periods, and availability.

AEIOU makes no representation or guarantee that any specific Service, Content, Credential, or accreditation framework will remain available for any period of time.

You acknowledge and agree that AEIOU shall not be liable to you or to any third party for any modification, suspension, restriction, or discontinuation of the Service or any portion thereof.

No update, modification, or change creates any obligation to continue offering any Service in the future.

8. Payments; Billing; Chargebacks; Enforcement

Certain portions of the Service require payment of fees. All payments are processed through third-party payment processors (each, a "Payment Processor"), such as Stripe. AEIOU does not store full payment card information and is not responsible for authorization decisions made by Payment Processors or card networks.

By submitting payment information, you authorize AEIOU and its Payment Processors to charge your selected payment method for all applicable fees, including recurring charges, installment payments, renewal fees, taxes, and any other amounts owed.

You represent and warrant that all billing information is accurate and that you are authorized to use the payment method provided. Providing false, misleading, or unauthorized payment information constitutes a material breach of this Agreement.

Chargebacks and Payment Disputes. If you initiate a chargeback, payment dispute, or reversal for any reason after access has been granted, AEIOU may immediately suspend or terminate your access, revoke credentials, suspend membership, and pursue collection of any amounts owed, including payment processor fees, administrative costs, and reasonable attorneys' fees where permitted by law.

AEIOU reserves the right to refuse or cancel any transaction, suspend access, or terminate accounts in cases of suspected fraud, abuse, pricing errors, or violation of these Terms.

9. Refunds

Refund eligibility, if any, is governed exclusively by the Terms of Purchase. Except as expressly stated therein, all sales are final once access is granted.

10. Coaching; No Professional Advice; No Fiduciary Duty

All coaching, mentoring, feedback, and strategic discussions are educational only. AEIOU does not provide legal, financial, investment, tax, medical, or other regulated professional services.

No fiduciary, advisory, agency, partnership, or professional-client relationship is created. You are solely responsible for your decisions and outcomes.

11. Credentials and Designations

11.1 Proprietary Credential; No License

Credentials are proprietary educational designations. They are not professional licenses, government certifications, academic degrees, or authorizations to practice any regulated profession. Credentials are personal, non-transferable, and may not be assigned, sublicensed, or shared.

11.2 Term; Renewal; Continuing Education; Membership

Credentials are issued for a three (3) year term unless otherwise stated.

To maintain and renew a Credential, you must, as applicable:
(a) complete continuing education approved by AEIOU;
(b) comply with AEIOU standards and codes of conduct;
(c) maintain active AEIOU membership, which is required to access CE and renewal pathways;
(d) satisfy administrative requirements and pay applicable renewal fees; and

(e) remain in good standing with AEIOU, as determined in AEIOU's sole discretion.

AEIOU retains sole discretion to modify renewal and CE requirements.

Failure to renew results in expiration or revocation of the right to use the Credential and marks, without refund.

11.3 Authoritative Records

AEIOU's official records are the sole authoritative source of Credential status.

12. Accreditation and Program Recognition

Accreditation is governed by the Accreditation Addendum, incorporated by reference.

Accreditation is a private, voluntary, non-exclusive assessment against AEIOU standards. AEIOU is not a governmental authority, regulator, or recognized academic accreditor.

No third party may rely on accreditation, recognition, or any associated findings or determinations for any purpose whatsoever.

13. No Reliance; No Third-Party Beneficiaries

The Service, including any Content, Credentials, accreditation determinations, coaching, communications, evaluations, assessments, reports, findings, or materials, is provided solely for your internal educational and informational purposes.

You acknowledge and agree that no third party—including without limitation employers, investors, regulators, institutions, partners, students, clients, customers, or members of the public—is authorized to rely, and may not rely, on the Service or on any outcome, determination, Credential, designation, accreditation status, or representation issued or made by AEIOU for any purpose.

Any reliance by a third party is expressly unauthorized and at such party's sole risk.

Nothing in this Agreement creates any third-party beneficiary rights. No person or entity other than you and AEIOU may enforce this Agreement or assert any rights or claims based on the Service, any Credential, or any accreditation determination.

14. Governance; Ethics; Reputational Harm

You agree to comply with AEIOU's ethical standards. AEIOU may suspend or revoke access, Credentials, accreditation, or membership for conduct that is unlawful, unethical, misleading, or reasonably causes reputational harm, in AEIOU's sole discretion. AEIOU is not required to provide advance notice, an opportunity to cure, or an appeals process unless required by applicable law or expressly stated in writing.

15. Trademarks; Public Statements

All AEIOU marks are proprietary. You are granted a limited, revocable license to use marks only while in good standing and in accordance with AEIOU guidelines.

AEIOU may require modification or removal of public statements and revoke status for misuse.

16. Idea Submissions

Any ideas you submit may be used by AEIOU without restriction or compensation.

17. User Content License

You retain ownership of User Content but grant AEIOU a perpetual, worldwide, royalty-free, transferable, sublicensable license to use such User Content in connection with the Service and AEIOU's educational, promotional, and institutional activities.

18. Intellectual Property Ownership

All Content and the Service are owned by or licensed to AEIOU. No ownership rights are transferred.

For government and institutional purchasers, the Service constitutes proprietary commercial materials.

19. DMCA Copyright Policy

AEIOU complies with the DMCA. Notices should be sent to [email protected]. Repeat infringers may be terminated.

20. Third-Party Services

AEIOU is not responsible for third-party services or content.

21. Privacy

Use of the Service is subject to the Privacy Policy.

22. Mobile Applications; Government Software

Mobile applications are licensed, not sold. For U.S. Government users, the Service constitutes "commercial computer software" under FAR 12.212 and DFARS 227.7202.

23. Service Location; Export Controls

The Service is controlled and operated from the United States. You represent and warrant that your access to and use of the Service complies with all applicable United States export control and economic sanctions laws and regulations.

International Use. The Service is operated from the United States. AEIOU makes no representation that the Service is appropriate or available for use in all jurisdictions. Users who access the Service from outside the United States do so at their own initiative and are solely responsible for compliance with applicable local laws and regulations.

24. Force Majeure

AEIOU is not liable for failure or delay due to events beyond its reasonable control.

25. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." AEIOU DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEIOU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. AEIOU'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF AEIOU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

27. Indemnification

You agree to defend, indemnify, and hold harmless AEIOU from claims arising from your use of the Service or violation of this Agreement.

28. Dispute Resolution; Mandatory Individual Arbitration; Class Action and Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution. Before initiating any formal dispute, you agree to contact AEIOU at [email protected] and attempt to resolve the matter informally for a period of not less than thirty (30) days.

Mandatory Individual Arbitration. Except for claims seeking injunctive or equitable relief relating to intellectual property, misuse of AEIOU marks, unauthorized access, or breach of confidentiality, any dispute, claim, or controversy arising out of or relating to this Agreement or the Service shall be resolved exclusively by binding arbitration on an individual basis.

Arbitration shall be administered by JAMS in accordance with its rules then in effect. The arbitration shall take place in Sheridan County, Wyoming, unless the parties agree otherwise.

Federal Arbitration Act. This arbitration provision is governed by the Federal Arbitration Act (9 U.S.C. §§ 1–16).

Fees and Costs. Each party shall bear its own attorneys' fees unless the arbitrator determines otherwise under applicable law. Administrative and arbitrator fees shall be allocated in accordance with JAMS rules.

No Class Actions or Representative Proceedings. YOU AND AEIOU AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION.

Jury Trial Waiver. YOU AND AEIOU EACH WAIVE THE RIGHT TO A JURY TRIAL.

Survival and Severability. This Section survives termination of this Agreement. If the class action waiver is found unenforceable, the arbitration requirement shall be unenforceable only to that extent. This arbitration agreement shall survive termination or expiration of this Agreement.

29. Notices; Electronic Communications

Notices may be provided electronically and are effective when sent.

30. Language

English controls.

31. Assignment; Entire Agreement; Severability; No Waiver

AEIOU may assign freely. This Agreement is the entire agreement. Invalid provisions do not affect the remainder.

32. Order of Precedence

Addenda control for their subject matter, followed by the Terms of Purchase, then these Terms.

33. Survival

Key provisions survive termination.
