AEIOU TERMS OF PURCHASE

These Terms of Purchase ("Terms of Purchase") govern the purchase of access to programs, courses, memberships, credentials, continuing education offerings, coaching services, institutional services, and related offerings (collectively, the "Offerings") provided by AEIOU LLC, a Wyoming limited liability company ("AEIOU," "we," "us," or "our").
Capitalized terms not defined herein have the meanings assigned in the AEIOU Terms of Service ("Terms of Service"). These Terms of Purchase are incorporated into and form part of the binding agreement between you and AEIOU (together, the "Agreement"). In the event of a conflict between the Terms of Service and these Terms of Purchase, these Terms of Purchase control solely with respect to pricing, billing, refunds, access, and payment-related matters.
By completing a purchase, enrolling in an Offering, or authorizing payment, you acknowledge that you have read, understood, and agree to be bound by these Terms of Purchase and the Terms of Service.
1. Nature of Offerings
AEIOU Offerings may include, without limitation:
- digital or cohort-based educational programs
- professional memberships
- proprietary credentials and credential renewals
- continuing education offerings
- group or individual coaching sessions
- institutional, enterprise, or government programs
- accreditation-related services (subject to separate agreements or addenda)
Unless expressly stated in a written agreement executed by AEIOU, Offerings are educational and informational services only. Offerings are not subscriptions, licenses, guarantees of outcomes, or professional services, and do not create any fiduciary, advisory, or client relationship. Any coaching or strategic sessions provided are educational in nature and do not constitute professional, legal, financial, or investment advice. AEIOU Offerings are designed for experienced and emerging professionals and are not intended for casual, consumer entertainment purposes.
2. Enrollment; Formation of Contract
Enrollment in an Offering is complete only when:
- checkout is successfully completed;
- all required acknowledgments and agreements are accepted; and
- payment is received and processed.
AEIOU reserves the right to refuse, cancel, or revoke enrollment at any time for suspected fraud, policy violations, misuse of credentials, or failure to meet eligibility requirements.
3. Access; Term; Delivery
3.1 Access Grant
Unless expressly stated otherwise in writing:
- access to digital Offerings is granted for twelve (12) months from the date access is first provided;
- access is granted for the life of the course during the access period only.
AEIOU may update, replace, restrict, or discontinue any content, instructor, format, or feature at any time and has no obligation to maintain any specific version.
3.2 No Guaranteed Availability
AEIOU does not guarantee uninterrupted access, continued availability of any specific Offering, or the continuation of any particular instructor, format, or delivery method.
4. Fees; Pricing; Taxes
All prices are listed in U.S. Dollars (USD) unless otherwise stated.
Prices, payment structures, and availability may change at any time; however, changes do not apply retroactively to completed purchases.
You are solely responsible for all applicable taxes (other than taxes on AEIOU's net income), currency conversion costs, foreign transaction fees, and processing fees imposed by your payment provider.
5. Payment Authorization
You must provide a valid, current, and authorized payment method ("Payment Method").
By submitting payment information, you represent and warrant that:
- you are authorized to use the Payment Method;
- all payment information is accurate and current;
- you authorize AEIOU and its payment processors to charge all amounts due, including fees, installments, renewals, taxes, penalties, and administrative charges where permitted by law.
AEIOU does not store full payment card information.
Payments may not be withheld, delayed, or offset based on any dispute, dissatisfaction, or alleged failure of performance. All payment obligations are independent of participation, completion, or outcomes.
6. Payment Plans and Installments
If AEIOU offers a payment plan or installment option ("Payment Plan"):
- you authorize automatic charges according to the schedule disclosed at checkout;
- all installments are owed in full, regardless of participation, usage, completion, or satisfaction;
- Payment Plans are not subscriptions and cannot be canceled once initiated.
Failure to pay any installment constitutes a material breach of the Agreement. AEIOU may immediately suspend access and may revoke credentials, memberships, or associated rights until all outstanding amounts are paid.
For the avoidance of doubt, selection of a Payment Plan constitutes authorization of all scheduled charges, and failure to complete all installments does not relieve you of the obligation to pay the full purchase price.
7. Chargebacks; Disputes; Collections
Initiating a chargeback, payment dispute, or reversal after access has been granted constitutes a material breach of this Agreement.
Upon a chargeback or dispute, AEIOU may immediately:
- suspend or terminate access to Offerings;
- revoke credentials, memberships, or renewal eligibility;
- recover payment processor fees, administrative costs, and reasonable attorneys' fees where permitted by law.
You agree to attempt to resolve billing disputes directly with AEIOU before initiating any chargeback or dispute with a payment provider.
Any chargeback or payment dispute initiated after access has been granted shall be presumed unauthorized under these Terms of Purchase.
8. Third-Party Payment Processors
Payments are processed through third-party providers (including, without limitation, Stripe, PayPal, Apple Pay, Google Pay, and Kajabi checkout). By purchasing, you agree to be bound by the applicable payment processor terms.
AEIOU is not responsible for payment processor outages, authorization failures, errors, or third-party fees.
9. Use Restrictions
Purchased access is personal and non-transferable, unless expressly permitted in writing by AEIOU.
You may not:
- share, resell, sublicense, assign, or transfer access;
- allow unauthorized use by third parties;
- misrepresent enrollment, credential status, or affiliation with AEIOU.
Violation of this section may result in immediate termination without refund.
AEIOU reserves the right to recover reasonable enforcement, investigation, and administrative costs arising from misuse or misrepresentation of credentials or access.
10. Refund Policy
10.1 General Rule
ALL SALES ARE FINAL.
Because Offerings provide immediate access to digital content, services, reserved capacity, or time-limited opportunities, no refunds, credits, or partial refunds are provided, except where required by applicable law.
10.2 Discretionary Exceptions
AEIOU may, in its sole discretion, consider written refund requests submitted within a short period after purchase. Any exception:
- is granted as a courtesy only;
- does not create precedent;
- does not waive this policy for future purchases.
Lack of participation, dissatisfaction, scheduling conflicts, or changed circumstances do not constitute grounds for a refund.
11. Credential, Membership, and CE Fees
Fees paid for:
- credentials or designations
- credential renewals
- continuing education
- required memberships
are non-refundable, including in cases of expiration, non-renewal, suspension, or revocation for policy violations.
12. Institutional and Government Purchases
Institutional, enterprise, or government purchases may be governed by a separate written agreement, purchase order, or statement of work. In the event of a conflict, the negotiated agreement controls only for that specific transaction.
Absent such written agreement executed by AEIOU, these Terms of Purchase apply in full notwithstanding any purchase order terms, invoicing language, or procurement policies to the contrary. Any implied acceptance of contrary terms is expressly rejected.
13. No Guarantee of Outcomes
AEIOU does not guarantee completion, certification, renewal, accreditation, employment, funding, revenue, business success, or any professional, financial, or personal outcome. Fees are paid for access and participation, not results.
13A. No Reliance; No Third-Party Use
The Offerings, including any programs, credentials, continuing education, coaching, evaluations, determinations, or materials, are provided solely for your personal or internal educational purposes.
You acknowledge and agree that no third party, including employers, investors, institutions, regulators, clients, or members of the public, may rely on the Offerings or on any outcome, credential, designation, accreditation status, or participation for any purpose. Any reliance by a third party is unauthorized and at such party's sole risk. Nothing in these Terms of Purchase creates any third-party beneficiary rights.
14. Suspension; Termination
AEIOU may suspend or terminate access without refund for:
- non-payment or late payment
- chargebacks or disputes
- fraud or misuse
- violation of AEIOU policies or standards
- misuse of credentials or representations
Suspension or termination of access for any reason does not entitle you to a refund, credit, or reimbursement of any fees paid.
AEIOU's enforcement of this section is not subject to proportionality, fairness, or equity review except as required by applicable law.
15. Changes to Offerings
AEIOU may change pricing, instructors, formats, delivery methods, content, or availability of Offerings at any time. Such changes do not entitle you to a refund for prior purchases.
16. Survival
Sections relating to payments, fees, chargebacks, refunds, access limitations, enforcement, no reliance, dispute resolution, indemnity, and liability limitations survive termination or expiration of the Agreement for any reason.
